Lokesh,

You're making this too hard.  You're going to need a total of three
partitions.  Let partition #1 (C) be for windows.  Partition #2 (hda2)
with a minimum of 400mb be for Linux native.  Partition #3 (hda3) should
be reserved for linux swap (can not exceed 128mb).

If your current 2nd partition is large enough for Linux, then go ahead and
split it, allowing 32-64 mb for swap.

Leave windows installed on C.  If you're installing RedHat, it will come
up asking you to edit your drives.  Using Fdisk, you can edit hda2, make
it Linux Native (t)ype -change type (L)ist -see list of codes. Also edit
hda3, making it linux swap.

At the end of your installation, be sure to install lilo either in the mbr
or first sector.  Be sure to add your hda1 as bootable for windows.

You're all set!
